5. User Content and Data

You retain ownership of any data, content, or materials you submit to the Service ("User Content"). We will not use your User Content to train machine learning models without your explicit consent.

7. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated otherwise. We reserve the right to change our fees upon 30 days' notice. Usage beyond your plan limits will be billed at the applicable overage rates.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Executive AI and are protected by international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Executive AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use of or inability to use the Service. Our total liability shall not exceed the amounts paid by you to Executive AI in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. We make no warranties regarding the accuracy or reliability of any results obtained through the Service, including AI agent outputs.

11. Indemnification

You agree to indemnify, defend, and hold harmless Executive AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
